Corporate Counsel

Responsibilities:

  • Review and draft legal agreements and other corporate / business documents.
  • Undertake legal work required for publicly listed issuers under applicable securities laws.
  • Manage legal aspects of transactions (e.g. mergers, acquisitions, divestitures, financings).
  • Undertake regulatory filings with the TSX Venture and BCSC.
  • Undertake general corporate matters, such as (but not limited to); corporate minute books, AGM, governance, board meetings, AIF, stock options, RSU / DSU plans.
  • Manage outside legal resources (if / when required).
  • Other duties as assigned from time to time.

Qualifications:

  • LLB from an accredited and reputable university.
  • Called to the Bar in British Columbia with Law Society membership in good standing.
  • Minimum of 5 years’ corporate legal experience.
  • Mandatory sufficient background in corporate securities, corporate finance and M&A.
  • Experienced in regulatory requirements of both the TSXV and TSX exchange (experience solely with the CSE or OTC will not be accepted).
  • Experienced in directly dealing with the TSXV or TSX regulators with M&A, financings, share issuances, early warning reports and all other matters related to relevant issuers.
  • Ability to undertake majority of on-going disclosure obligations, legal matters and regulatory filings, without relying on external counsel, or external corporate secretary services.
  • Excellent drafting and interpersonal communication skills, with strong attention to detail.
  • Ability to work well under pressure, manage priorities and meet deadlines.
  • Strong teamwork skills, trustworthy, accountable, proactive and a positive work attitude.
  • Cannabis industry experience would be an asset (e.g. familiarity with the Cannabis Act & Regulations).
  • Experience with employment law matters (e.g. employment contracts) would be an asset.
